These Terms of Service ("Terms") govern your access to and use of the Exam Prep platform ("Service"), operated by Minute AI, Inc. ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Exam Prep is an AI-powered platform that generates practice exam questions from user-provided content or topic descriptions. The Service includes question generation, exam-taking, performance analytics, and AI-powered explanations.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are under 18, you must have the consent of a parent or legal guardian.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We are not liable for losses arising from unauthorized access to your account.

4. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate exam questions, answer options, explanations, and other content. AI-generated content may contain errors, inaccuracies, or outdated information.

AI-generated questions and explanations are for practice and study purposes only and should not be relied upon as authoritative, professional, or academic advice.
We do not guarantee the accuracy, completeness, or correctness of any AI-generated content.
AI-generated content does not constitute professional advice in any field, including but not limited to medical, legal, financial, or engineering domains.
You are solely responsible for verifying the accuracy of any information obtained through the Service before relying on it.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
Upload content that infringes on intellectual property rights, is defamatory, obscene, or harmful.
Attempt to reverse-engineer, decompile, or extract the AI models, algorithms, or prompts used by the Service.
Use automated tools, bots, or scrapers to access the Service beyond normal usage.
Share, resell, or redistribute generated exam content for commercial purposes without our written consent.
Circumvent usage limits, quotas, or access restrictions through any means.
Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
Use the Service to generate content intended to deceive, defraud, or cheat in academic or professional examinations.

6. Subscriptions and Billing

Billing: Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor (Stripe). By subscribing, you authorize us to charge your payment method on a recurring basis.
Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
Price Changes: We may change subscription prices at any time. Price changes take effect at the start of your next billing period. We will notify you of price changes in advance.
Refunds: Payments are generally non-refundable. If you cancel a subscription, you retain access until the end of your current billing period. We may, at our sole discretion, issue refunds on a case-by-case basis.
Failed Payments: If a payment fails, we may suspend or downgrade your account until payment is successfully processed.

7. Free Trials

We may offer free trials at our discretion. At the end of a free trial, your account will be charged for the selected plan unless you cancel before the trial ends. We reserve the right to limit free trial eligibility, including limiting trials to one per user or household.

8. Your Content

You retain ownership of all content you upload to the Service ("Your Content").
By uploading content, you grant us a limited, non-exclusive license to process, store, and use Your Content solely for the purpose of providing the Service to you (e.g., generating questions from your materials).
We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service, except in aggregated and anonymized form for improving our AI models and Service quality.
You represent and warrant that you have all necessary rights and permissions to upload Your Content and that it does not violate any third party's rights.

9. Intellectual Property

The Service, including its design, features, AI models, software, and branding, is the property of Minute AI, Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

AI-generated exam questions and explanations produced through the Service are provided for your personal, non-commercial use. You may not commercially redistribute, resell, or publish bulk AI-generated content from the Service.

10. Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time, for any reason, with or without notice, including but not limited to:

Violation of these Terms or our Acceptable Use policy.
Abusive, fraudulent, or suspicious activity.
Excessive usage that impacts the performance or availability of the Service for other users.
Non-payment or chargebacks on subscription fees.
At our sole discretion for any business or operational reason.

Upon termination, your right to access the Service ceases immediately. We may delete your account data after a reasonable retention period. We are not liable for any loss of data resulting from account termination.

11. Service Availability and Modifications

We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
We may perform scheduled or emergency maintenance that temporarily affects availability.
We are not liable for any downtime, data loss, or service interruptions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Minute AI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
We are not liable for any decisions you make based on AI-generated content, exam results, or analytics provided by the Service.

13. Indemnification

You agree to indemnify, defend, and hold harmless Minute AI, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. We process personal data in accordance with applicable data protection laws.

15. Third-Party Services

The Service integrates with third-party services (e.g., Stripe for payments, Google for authentication, Azure for AI and cloud infrastructure). Your use of these services is subject to their respective terms. We are not responsible for the availability, accuracy, or practices of third-party services.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Minute AI, Inc. is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law, in which case disputes shall be brought in the courts of competent jurisdiction.

17. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Minute AI, Inc. regarding the Service and supersede all prior agreements or communications.
